General Terms of Use

Welcome to use Noitom Robotics.

Please carefully read this Terms of Use ("Agreement"), as it sets out the terms and conditions that apply to your use of the Noitom Robotics Website (modalitynet.com hereinafter referred to as the "Website" or "Product"), and the services it provides through online and mobile platforms ("Noitom Robotics Services"). By registering for, accessing and using the Noitom Robotics Services, you signify that you have read, understand and agree to be bound by this legal and enforceable contract between you and NOITOM ROBOTICS RESEARCH PTE. LTD. and its affiliated entities ("Noitom Robotics"). IF YOU DO NOT AGREE TO ANY OF THE TERMS OF THIS AGREEMENT, DO NOT COPY, DOWNLOAD, RUN OR USE THIS PRODUCT AND SERVICES AND RELATED DOCUMENTS. THIS AGREEMENT ALSO APPLIES TO SUBSEQUENT AND UPGRADED VERSIONS OF THIS PRODUCT.

You can obtain a non-exclusive license to use this Product in accordance with the valid written license agreement signed by you and Noitom Robotics, but the intellectual property rights and all other rights and interests of this Product always belong to Noitom Robotics only.

1. Definitions

1.1 "Website" refers to the official website operated by the Company that provides motion capture data for download.

1.2 "Data" or "Motion Capture Data" refers to all motion capture datasets and related files, including video/image files, audio, pressure, temperature, metadata and more, made available for download on the Website, which are collected, produced, and owned by the Company.

1.3 "User" or "You" refers to any individual or entity that accesses, browses, downloads, or uses the Data from the Website.

1.4 Affiliate refers to any person, with respect to a certain person, that directly or indirectly controls, is controlled by, or is under common control of this certain person. For the purposes of this definition, the term "control" (including "control", "under control" and "under common control" with relevant meanings) means having, directly or indirectly, the management power to direct such persons or cause them to be directed, whether through voting securities, contracts or other channels; however, under no circumstance shall you be deemed to be an affiliate of Noitom Robotics.

1.5 Intellectual Property includes but is not limited to (a) patents, inventions, designs, copyright and related rights, database rights, trademarks, service identifiers and trade names (whether registered or not), and the right to apply for registration; (b) domain name exclusive rights; (c) expertise and confidential information; (d) the application, extension and renewal in relation to any of the above.

2. Statement of Rights

2.1 Noitom Robotics is the owner and operator of the Website, and provides the Noitom Robotics Services use solely in accordance with the terms and conditions in this Agreement.

2.2 Unless otherwise stated, all intellectual property rights of this Product and all information content related to this Product, including but not limited to: text expressions and their combinations, video expressions and their combinations, icons, graphic decorations, images, charts, colors, interface design, layout frames, related data, additional programs, printed materials or electronic documents and information related to this Product, are owned by Noitom Robotics and protected by patent laws, trademark laws, copyright laws, international copyright treaties and other intellectual property laws and regulations. At the same time, Noitom Robotics does not guarantee the accuracy, completeness, adequacy and reliability of the above information, and expressly declares that it is not responsible for the errors or omissions of the above information, and does not make any express or implied guarantees for the above information, including but not limited to the guarantees of ownership, noninfringement of third-party rights and computer-virus-free.

2.3 Attribution

2.3.1 For any derived visualizations (such as rendered images, videos, animations, etc.) that you create from the data and make public, you must provide clear attribution.

2.3.2 The attribution shall be in the form: "Data Source: Data (c) Noitom Robotics." or in a similar manner as the Company may specify. This attribution must be placed in a manner that is reasonably visible.

3. Scope of Authorized Use

3.1 Without the prior express written consent of Noitom Robotics, you shall not copy, reproduce, reprint, upload, post, publicly display, encode, translate, transmit or distribute to any other computer, server, website or other mediums in any way (including "mirroring") for publication, distribution or any other commercial purposes.

3.2 The Data may only be used for internal research, development, evaluation, prototyping, and demonstrations, with no external redistribution of the raw data. Users shall not use the Data for commercial purposes.

3.3 Users may use the data for internal model training, but may not share the data or model weights with external entities or use them as a service.

3.4 Redistribution of the data (including raw data or substantial portions thereof) is prohibited. Users may create derived visualizations based on the data, but must attribute the source of the data.

4. User Obligations and Restrictions of Rights

4.1 In consideration of use of the Noitom Robotics Services, you agree to: (i) provide to Noitom Robotics true, accurate, current and complete information about yourself as prompted by the registration page, and (ii) to maintain and update this information to keep it true, accurate, current and complete. If any information provided by you is untrue, inaccurate, not current or incomplete, Noitom Robotics has the right to terminate your account and refuse any and all current or future use of the Website and the Noitom Robotics Services. You are solely liable for any consequences resulting from inaccurate, false or incomplete information that you provide.

4.2 You must maintain sole control over and responsibility for your account number and password (including all activities arising from their use), and you must not transfer, lend or otherwise make them available to any other person. Should your account number or password be improperly used by any other person, you must promptly notify Noitom Robotics. You bear full responsibility, and Noitom Robotics will bear no responsibility, for the use of your account number or password by another person as a result of your negligence or fault.

4.3 You acknowledge and agree that Noitom Robotics only provides the Noitom Robotics Services, and that you must: (i) provide all equipment necessary for you to make such connection to the Internet, including a computer, modem or other access or mobile device, and (ii) provide for your own access to the Internet and pay any service fees associated with such access.

4.4 While using the Noitom Robotics Services, you shall:

4.4.1 comply with all applicable local, state, federal and international laws and regulations;

4.4.2 comply with all network protocols, rules and procedures related to the Noitom Robotics Services; and

4.4.3 promptly notify Noitom Robotics if you become aware of any unlawful use of or material defect in the Noitom Robotics Services.

4.5 While using the Noitom Robotics Services, you shall not:

4.5.1 upload, post or transmit: (i) any fraudulent, libelous, defamatory, obscene, threatening, abusive, hateful, offensive, or otherwise objectionable information of any kind; or (ii) any information or software which contains a virus, Trojan horse, worm or other harmful component;

4.5.2 upload, post, publish, transmit, reproduce, distribute or otherwise exploit in any way, information, software or other material obtained through the Noitom Robotics Services (i) which is protected by copyright, or other proprietary right, or derivative works with respect thereto, without obtaining permission of the copyright owner or right holder; or (ii) for commercial purposes (other than as expressly permitted by the provider of such information, software or other material);

4.5.3 use the Noitom Robotics Services system for any other unlawful purpose; or

4.5.4 restrict or inhibit any other user from using and enjoying the Noitom Robotics Services.

4.6 Prohibition of reverse engineering, recompilation and disassembly: You shall not reverse engineer, decompile or disassemble this Product, and you shall not change the compiling of any resources inside the program file. You shall abide by the restrictions of this clause unless the above activities are expressly permitted by laws and regulations.

4.7 You should use this Product on the premise of abiding by the laws and this Agreement. You are not authorized to perform the following actions, including but not limited to:

4.7.1 Deliberately evade or destroy the technical measures taken by the copyright owner to protect the copyright of this Product;

4.7.2 Use this Product to engage in any illegal activities;

4.7.3 In violation of laws and regulations, delete, modify, add and interfere with the functions of the computer information system, resulting in the malfunction of the computer information system;

4.7.4 Access the computer information network or use computer information network resources without permission;

4.7.5 Delete, modify or add data and application programs stored, processed or transmitted in the computer information network without permission;

4.7.6 Destroy the normal operation of this Product or websites, and deliberately spread destructive programs such as computer viruses;

4.7.7 Any other behavior that endangers the security of computer information network of this Product.

4.8 Individual authorization: where necessary to carry out commercial sale, reproduction and distribution, including but not limited to software sale, pre-installation, bundling, etc., the written authorization and license by Noitom Robotics shall be obtained in advance.

4.9 Reserved rights: all other rights not expressly authorized in this Agreement are reserved by Noitom Robotics. You shall obtain the written consent by Noitom Robotics to exercise any other rights.

4.10 The platform of Noitom Robotics does not have data backup function. You understand and agree that data backup is the obligation and responsibility of users, instead of Noitom Robotics. Noitom Robotics is not responsible for user data backup or any consequences thereof.

4.11 The Company makes no representations or warranties regarding the accuracy, completeness, or suitability of the Data. Users assume all risks when using the Data. The Company shall not be liable for any loss, damage, or claims arising from the use of the Data or derived works.

5. Information Security

5.1 Noitom Robotics promises to abide by the provisions of relevant laws and regulations and the "NOITOM ROBOTICS Privacy Policy" to process user information (see Section 4.11 for the detailed definition of user information) and guarantee the information security.

5.2 Noitom Robotics has formulated strict rules and adopted security protection measures for user uploaded information to ensure that user information is not collected beyond the purposes and scope, and that your uploaded information is secure and will not be abused.

5.3 Noitom Robotics has formulated the following four user information protection principles to guide us in dealing with user information protection issues related to this Product:

5.3.1 Use the information we collect to provide users with valuable products and/or services.

5.3.2 Develop products that comply with our country's current laws and regulations on data security.

5.3.3 Make the collection of information transparent and minimized.

5.3.4 Try our best, as commercially practical, to protect the information we hold.

Data compliance statement

All data offered and sold through this website is obtained in a lawful and compliant manner and is supported by sufficient and valid authorizations, or sourced from legally permissible public or authorized channels.

The website strictly complies with all applicable laws and regulatory requirements in the collection, organization, processing, use, and commercial distribution of data, ensuring lawful data sources, compliant authorizations, legitimate purposes, and appropriate technical and administrative safeguards for data security and compliance.

6. Disclaimer

6.1 Noitom Robotics is committed to continuously improving the quality of products. This Product and its services are provided on the basis of the existing technical level, but Noitom Robotics cannot guarantee that it will fully meet your expectations, including but not limited to that it is not guaranteed that you can use all user authentication systems in all terminal systems through this Product or access target network resources through this Product under all network architectures. You understand and agree that any of the above circumstances in which your expectations for the product are not met will not be deemed as a breach of contract by Noitom Robotics.

6.2 To the maximum extent permitted by applicable laws, Noitom Robotics will not be liable for any indirect, accidental, special, punitive or other damages (including but not limited to the damage caused by loss of profits, data loss, business interruption, equipment paralysis or failure, loss of business information, damage caused by negligence, or damage caused by any other loss, etc.) caused by or related to the use or inability to use this Product, even if Noitom Robotics is informed of the possibility of such damage in advance. At the same time, we promise that Noitom Robotics will make reasonable commercial efforts to assist you to take remedial measures to avoid the expansion of losses. However, the above commitments are not our obligations, and you and only you are responsible for possible loss/damage.

6.3 In any case, all liabilities of Noitom Robotics under any terms of this Agreement and the maximum compensation you can obtain shall not exceed the amount you paid for this Product or USD 10,000, which is lower. At the same time, Noitom Robotics is not responsible for any claims or damages arising from the content provided by you or a third party that is applied to or operated on this Product or other content that is related to the aforesaid content.

6.4 Noitom Robotics does not guarantee the following behaviors:

6.4.1 The Products or Services will be error-free or uninterrupted;

6.4.2 We will correct all defects or errors in relation to the Product or prevent all the sabotage or unauthorized access by any third party in relation to the product;

6.4.3 The Product will be compatible with your content or any other hardware, software, systems, services or data not provided by us.

6.5 You fully understand and agree that, for the purpose of this Product, we may provide your user information to Noitom Robotics's affiliates, branches, service providers, subcontractors, partners or company successors for them to provide you with transaction support, service support or security support. In this case, we ensure that these companies should adopt the same user information protection standards as this Agreement, and should not use your information for other purposes than this Agreement.

6.6 You expressly understand and agree that force majeure or unforeseen circumstances may occur during your use of this Product, including but not limited to: 1) being obtained or tampered by some unauthorized individuals, groups or institutions through certain channels; 2) delays due to busy communication traffic, or interruptions, pauses, incomplete data, data errors, etc. due to other reasons, resulting in errors, delays, interruptions or pauses in transactions; 3) power outages, network system failures, computer failures due to earthquakes, fires, typhoons and other force majeure; 4) The computer system may have issues of performance defects, quality problems, computer viruses, hardware failures, etc.; and other issues that are not attributable to Noitom Robotics, such as hacker attack and intrusion or breakout of computer viruses; 5) Government regulation, network failure, changes in national policies, changes in laws and regulations, etc. In the event of force majeure or unforeseen circumstances, Noitom Robotics will make reasonable commercial efforts to remedy it, but Noitom Robotics will not be liable for any direct or indirect losses caused by force majeure and unforeseen circumstances.

6.7 For any use of this Product, including but not limited to your and/or any third party's behavior, Noitom Robotics shall not bear any responsibility.

6.8 In case of your violation of this Agreement, Noitom Robotics has the right to take measures including but not limited to terminating or interrupting the use license, stopping the provision of products and services, restricting the use, pursuing legal liabilities, etc. At the same time, you shall compensate Noitom Robotics for all losses (if any).

6.9 The above disclaimer applies to any damage, liability or injury caused by any performance failure, error, omission, interruption, deletion, defect, operation or transmission delay, computer virus, communication line failure, theft, destruction, unauthorized access, tampering or use (whether due to breach of contract, infringement, negligence or any other cause of action).

6.10 Noitom Robotics reserves the right to take the following actions at any time without notice: interrupt or modify the operation or function of any component of this Product when necessary to perform routine or non-routine maintenance, error correction or other modifications.

6.11 For any loss or damage (including direct, indirect, special or consequential loss or damage, such as loss of income or profit, damage to computer system or loss of data) caused by anyone's use of the information on this Product or the information linked by this Product, or other website information linked to this Product for any reason (including but not limited to negligence), Noitom Robotics will not bear any legal liability arising therefrom.

6.12 For any damage or loss caused by or related to the use of this Product in any way or any of its contents, if Noitom Robotics is liable according to the laws and regulations of the jurisdiction, the liability of Noitom Robotics shall not exceed the lower of the following two amounts: 1) the amount you have actually paid to obtain this Product, or 2) USD 10,000.

7. Termination of License

7.1 If you fail to comply with the terms and conditions of this Agreement, Noitom Robotics has the right to terminate this Agreement at any time without prior notice to you. After we terminate your use of this Product, you must immediately delete all copies of this Product (including derivative data) in your possession or control.

7.2 Noitom Robotics has the right to make changes to this policy by announcing such changes on our official website (https://modalitynet.com) 15 days in advance, including but not limited to function deletion, usage time setting, license termination, etc.

8. Legal and Dispute Resolution

8.1 This Agreement shall be governed by the laws of Singapore.

8.2 Any dispute arising from or related to this Agreement shall be settled through friendly negotiation by all parties; if the negotiation fails, either party may submit the relevant dispute to the SIAC for arbitration in accordance with the then effective arbitration rules; the arbitral award shall be final and binding on all parties.

9. Other Terms

9.1 If any provision of this Agreement is for any reason invalid, unenforceable or violates any applicable law, in whole or in part, then that provision shall be deemed invalid, but the remaining provisions of this Agreement shall remain valid with binding force. These terms shall be construed to the extent possible and enforced to the fullest extent permitted by law to achieve their original intent, and if such interpretation or enforcement is not permitted by law, such terms shall be deemed severable from this Agreement.

9.2 Noitom Robotics has the right to revise this Agreement from time to time in accordance with changes in relevant laws and regulations, as well as adjustments to the company's operating conditions and business strategies, and to announce or notify you through appropriate means. Please timely check the announcements and notices sent by Noitom Robotics. If you do not agree with the modified content, please stop using this Product immediately. If you continue to use this Product, it is deemed that you accept the modified agreement.

9.3 Noitom Robotics has the right to interpret and modify this Agreement to the fullest extent permitted by law.

9.4 The version of this Agreement is updated and the effective date is January 2026.
