THIS DATASET LICENSE AGREEMENT (THE "AGREEMENT") IS A LEGAL AGREEMENT BETWEEN NOITOM ROBOTICS INTERNATIONAL PTE. LTD. ("LICENSOR") AND THE ENTITY YOU REPRESENT ("LICENSEE").

BY CLICKING TO ACCEPT THESE TERMS, DOWNLOADING OR ACCESSING THE DATASET OR USING ANY PART OF THE DATASET, INCLUDING ANY SEPARATELY APPROVED 3D MESH FILES OR 3D MODEL ASSETS, LICENSEE AGREES TO BE BOUND BY THESE TERMS. IF AN INDIVIDUAL ACCEPTS ON BEHALF OF AN ENTITY, THAT INDIVIDUAL REPRESENTS THAT HE OR SHE HAS AUTHORITY TO BIND THE ENTITY.

NON-COMMERCIAL USE ONLY. The license granted under this Agreement is free of charge solely for a Non-Commercial Purpose. Users shall not use the Data for commercial purposes. To obtain a commercial license, contact licensing@modalitynet.com.

1. Definitions

Competing Dataset — any dataset substantially similar to the Dataset in content, scope or intended use that is marketed, licensed, or otherwise made available to third parties, whether free of charge or for payment.

Dataset — the data files made available with this Agreement and identified on the applicable ModalityNet repository or download page (the "Dataset Page"), together with the associated annotations, labels, metadata, documentation, taxonomy, selection, arrangement, and schema. For the avoidance of doubt, the Dataset also includes any separately requested and approved 3D mesh files or 3D model assets provided by Licensor to Licensee under these Terms. The Dataset does not include third-party software or materials separately identified and licensed under other terms.

"User" or "You" — any individual or entity that accepts this Agreement and accesses, browses, downloads, or uses the Data from the Website. If an individual accepts on behalf of an entity, "Licensee" means that entity.

Results — any output created by Licensee that is based upon or incorporates the Dataset, including trained models, model weights, statistical findings, publications, and derivative works. Results do not include the Dataset itself, a substantial portion of it, a Competing Dataset, or any output from which Dataset records or other protected elements can reasonably be extracted or reconstructed.

Non-Commercial Purpose — bona fide scientific or academic research, teaching, education, personal experimentation, evaluation, or non-commercial artistic research that is not a Commercial Purpose. Receipt of research grants, tuition, donations, or reimbursement of reasonable costs does not alone make an activity commercial, provided the activity is not otherwise directed towards commercial advantage or monetary compensation.

Commercial Purpose — any use primarily intended for, directed towards, or resulting in commercial advantage, monetary compensation, or support of a revenue-generating activity, including product or paid-service development; internal research, development, prototyping, or demonstrations supporting a commercial offering or decision; services for a third party's commercial benefit; and selling, licensing, monetising, or using the Dataset or Results in an advertising-supported, subscription, fee-based, or other revenue-generating activity. An organisation's non-profit status, absence of immediate revenue, or publication of research does not by itself make a use non-commercial.

2. Grant of License

Subject to Licensee's continuing compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, and revocable license to reproduce, process, transform, and computationally analyse the Dataset — including training, fine-tuning, and evaluating machine learning models — solely for a Non-Commercial Purpose, and to publicly display portions of the Dataset as part of permitted Results provided the raw data is not thereby made accessible.

3. Intellectual Property

Licensor ownership. Licensor retains all right, title, and interest in the Dataset, including all copies and modifications of it, together with all database rights and other proprietary rights in the compilation, taxonomy, annotation schema, and structure. All rights not expressly granted are reserved.

Licensee ownership of Results. Licensee may publish papers and share software, model weights, research findings, and visualisations for Non-Commercial Purposes, provided that the Result (i) does not contain, expose, or allow extraction or reconstruction of the Dataset or a substantial portion of it; (ii) is not a Competing Dataset or substitute model; and (iii) includes the attribution required by Section 5. Subject to compliance with this Agreement, Licensee owns its Results. To the extent Results constitute derivative works of the Dataset, Licensor grants permission to exercise derivative rights in them, provided the raw Dataset cannot be extracted or reconstructed from those Results. A trained model is owned by Licensee; the underlying data is not. Ownership of Results confers no right to redistribute the Dataset.

Feedback. Suggestions or improvements provided by Licensee may be used by Licensor without restriction or compensation.

4. Restrictions

Licensee shall not, and shall not permit any third party to:

  • No commercial use — use the Dataset or Results for a Commercial Purpose without first obtaining a separate written commercial license from Licensor and paying any applicable fees. If Licensee is uncertain whether a proposed use is commercial, Licensee must contact licensing@modalitynet.com before proceeding.
  • No redistribution — sell, license, sublicense, lend, or otherwise transfer the raw Dataset or any part of it to any third party or Affiliate.
  • No public mirrors or forks — upload the Dataset to any public repository on any platform. Private copies for internal use are permitted provided they remain inaccessible to third parties.
  • No re-identification — attempt to identify any performer, subject, or individual appearing in the Dataset.
  • No synthetic likeness or deepfake generation — use the Dataset to generate synthetic media depicting identifiable individuals.
  • No surveillance use — use the Dataset for biometric surveillance, monitoring, or tracking of individuals.
  • No high-risk use — use the Dataset or Results in weapons systems, or safety-critical systems whose failure could reasonably result in death, personal injury, or material damage, including critical infrastructure or medical equipment requiring fail-safe performance.
  • No competing dataset or substitutable generative model — use the Dataset or Results to create, improve, or augment a Competing Dataset, or to train, fine-tune, or condition any generative model whose primary purpose or substantial use is to produce human motion, animation, or multimodal interaction data functioning as a commercial substitute for the Dataset. For the avoidance of doubt, this does not restrict training non-commercial models.
  • No work-for-hire — use the Dataset to provide paid or commercial development, model-training, evaluation, or other services for a third party, or otherwise for a third party's Commercial Purpose, without a separate written commercial license. Selling Licensee's own off-the-shelf products is unaffected.
  • No unlawful or rights-violating use — use the Dataset or Results for an unlawful, fraudulent, defamatory, harassing, discriminatory, or malicious purpose, or in violation of applicable privacy, data-protection, publicity, personality, labour, research-ethics, or other rights.
  • No removal of attribution — remove or obscure copyright, attribution, provenance, or other proprietary notices included with the Dataset.

Nothing in this Agreement restricts any act that cannot lawfully be restricted.

5. Attribution and Citation

Publications and technical reports — cite the Dataset in the references or data availability section using the citation string published on the Dataset page. If no citation is specified, identify the dataset name and version, Noitom Robotics as the source, the Dataset Page URL, and this Agreement.

Models and software — include in the model card, repository README, or equivalent accompanying documentation: "the dataset name and version, Noitom Robotics as the source, the Dataset Page URL, and this Agreement."

Products, demos, and websites — include credit on an about or credits page or other prominent location.

Licensor may identify Licensee as a user of the Dataset in customer lists, case studies, and announcements, having first notified Licensee in writing and allowed seven (7) days for written objection.

6. Warranties and Liability

The Dataset is provided "as is" and "with all faults." Licensor makes no warranties, express or implied, and does not warrant that the Dataset is error-free. Licensor is under no obligation to provide updates.

To the maximum extent permitted by law, Licensor shall not be liable for lost profits, lost revenue, lost data, or any indirect, incidental, or consequential damages. These limitations do not apply to liability that applicable law does not permit to be excluded or limited.

7. Indemnification

Licensee shall indemnify and hold harmless Licensor and its officers, directors, employees, and agents against claims, damages, liabilities, costs, and reasonable legal fees arising from (a) Licensee's material breach of this Agreement, (b) Licensee's unlawful or prohibited use of the Dataset or Results, or (c) Licensee's distribution or operation of Results. Licensor shall give prompt notice of a claim, allow Licensee to control the defence and settlement, and provide reasonable cooperation at Licensee's expense.

8. Termination

Licensor may terminate immediately on written notice (email sufficient) for material breach. On termination, Licensee must cease all use of the Dataset, permanently delete all copies, and certify destruction in writing within five (5) business days.

Compliant Results created in good faith before termination, including published papers and deployed non-commercial models, may be retained and continue to be used only for Non-Commercial Purposes and only if they remain compliant with Sections 3, 4, and 5. Termination does not authorise any new use of the Dataset. Licensor may require cessation or withdrawal of a specific Result to the extent reasonably necessary to address unlawful content, a serious prohibited use, or a Result that exposes or enables reconstruction of the Dataset.

Sections 3, 5, 6, 7, 8, and 10 survive termination.

9. Export Control and Sanctions

Licensee represents that it is not located in, controlled by, or a national or resident of any country or person subject to applicable sanctions or export restrictions, and agrees to comply with applicable export control and sanctions laws.

10. Governing Law and Venue

This Agreement is governed by the laws of Singapore. Disputes are subject to the exclusive jurisdiction of the courts of Singapore.

11. Miscellaneous

Entire agreement and order of precedence. This Agreement, together with dataset-specific notices expressly identified on the Dataset Page before access, constitutes the entire agreement concerning the Dataset. If general website terms conflict with this Agreement regarding permitted use of the Dataset, this Agreement controls. The terms of the hosting platform continue to apply independently.

No assignment; no waiver; severability. Licensee may not assign or transfer this Agreement without Licensor's prior written consent. A failure or delay in enforcement is not a waiver. If any provision is held unenforceable, it shall be modified only to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in effect.

License versions. Licensor may publish revised versions of this Agreement. The version accepted by Licensee continues to govern the Dataset version obtained by Licensee, except that continued access to an updated Dataset may require acceptance of a revised agreement and dataset-withdrawal notices required by law or to protect a person's rights continue to apply. Revised terms do not retroactively expand Licensee's obligations for compliant use completed before the revised terms took effect.

Notices and contact. Licensor may send notices to the email address associated with Licensee's Dataset account or post a prominent notice on the Dataset Page. Questions and requests for commercial licensing may be sent to licensing@modalitynet.com.
